Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the services, tools, and websites provided by Sure As Ship Inc. ("Sure As Ship," "SASI," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. These Terms are meant to be read in conjunction with our Privacy Policy, which is incorporated into these Terms by reference.
1) Interpretation
- When we say "we," "us," or "our" in these Terms of Service, we mean Sure As Ship Inc.
- "BYOC" means "Bring Your Own Courier" and refers to an account where the user of the Service arranges rates directly with the courier and pays the courier directly for shipping costs.
- "Preferred" means a Preferred plan account, as paid for by the customer, and as authorized and agreed to in advance with Sure As Ship Inc., and is subject to the terms as outlined below.
- These Terms of Service are meant to be read in conjunction with our Privacy Policy, which is incorporated into these Terms by reference.
2) Services
The services provided by Sure As Ship Inc. ("SASI") enable you to create and manage shipments, retrieve courier rate quotes, print labels, and track packages with supported couriers. SASI facilitates interactions between you and the courier(s) but does not physically transport items (we hereinafter refer to these services as the "Service").
You are responsible for your use of the Service and for ensuring your shipments comply with all applicable laws, regulations, and courier terms and conditions. Care and control of all shipments are at all times the responsibility of you and/or the courier and not of SASI.
3) Accounts & Eligibility
- Account Information. You must provide complete and accurate information and keep it up to date.
- Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities on your account.
- Capacity. You represent that you have the capacity and authority to enter into a binding contract in Canada (e.g., you are at least 18 years of age and, in addition, have the legal capacity and required authority if registering on behalf of an organization or corporation).
4) Shipments, Couriers & Your Responsibilities
- Courier Terms. Shipments are subject to the applicable courier's terms, policies, and limitations. By printing a label, or arranging carriage, you agree to the courier's terms. You are responsible to review the terms and conditions of the courier. SASI has no control over the courier's terms, policies, and/or conditions that may be applicable to you.
- Packaging & Declarations. You are solely responsible for proper packaging, labeling, addressing, and truthful declarations (weight, dimensions, contents, value, customs paperwork, etc.).
- Prohibited/Restricted Items. You must not ship prohibited items and must comply with all import/export, dangerous goods, other regulatory requirements, and the policies as set out by the applicable courier. You agree not to ship items that are prohibited or restricted by law or the applicable courier. Each courier maintains its own published list of prohibited and restricted items, including but not limited to firearms, lithium batteries, hazardous materials, perishables, currency, controlled substances, and live animals. You are solely responsible for consulting each courier's current published rules before booking any shipment and for ensuring all shipments comply with those rules and with all applicable import, export, and regulatory requirements. SASI does not typically review shipments for compliance but reserves the right to suspend or refuse to process shipments that we believe violate any courier's rules or applicable law.
- Claims. Loss, delay, or damage claims must be made directly with the courier and are subject to the courier's processes and limits.
5) Rates, Fees, Taxes & Payment
- Rates. Displayed rates are estimates based on information provided at the time a quote is given and can vary based on courier rules, dimensions/weight accuracy, surcharges, and delivery outcomes. Actual charges to your account may differ due to the factors described in "Variable Surcharges" below.
- Variable Surcharges. You acknowledge that certain surcharges are subject to change or may be assessed after booking:
- Fuel Surcharges: Couriers adjust fuel surcharges weekly based on fuel costs. We include the current fuel surcharge in quoted rates, but the surcharge at time of delivery may differ from the surcharge at time of quote.
- Additional Handling Fees: Packages exceeding courier weight thresholds (typically 50 lbs / 22.7 kg, but check individual courier policies) may incur additional handling fees on a per package basis depending on the courier and service.
- Dimensional Weight: Couriers may re-measure packages and apply dimensional weight ((L × W × H) ÷ DIM (set by courier)) if it exceeds actual weight. Any difference between declared and measured dimensions may result in adjusted charges.
- Residential Delivery: Deliveries to residential addresses may incur residential surcharges. We recommend marking addresses as residential at the time of booking to ensure this fee is accurately reflected in your quote.
- Address Corrections: If a courier corrects an incomplete or invalid address, address correction fees may be assessed by the courier.
- Remote/Extended Area: Deliveries to remote or extended delivery areas may incur additional surcharges as determined by the courier.
- Business Time Zone & Billing Periods. SASI operates based on the local time in Toronto, Ontario, Canada (Eastern Standard Time or Eastern Daylight Time, seasonally, and collectively "Eastern Time"). All billing periods, discount calculations, monthly volume tiers, and invoice dates are determined based on Eastern Time. For example:
- Monthly discount tiers are calculated based on shipments created during the calendar month in Eastern Time (from 12:00 AM Eastern Time on the first day of the month through 11:59 PM Eastern on the last day of the month).
- Weekly invoices for Preferred accounts cover Sunday through Saturday in Eastern Time.
- All timestamps, reports, and date-based features reference Eastern Time unless explicitly stated otherwise.
- Fees & Taxes. You agree to pay your account in full, inclusive of all charges, surcharges, adjustments, and applicable taxes. Currency is in Canadian dollars (CAD) unless stated otherwise.
- Platform Fees. BYOC and Preferred accounts are subject to additional platform fees:
- BYOC: Per-shipment fee (plus applicable taxes) for each BYOC label generated. You pay your couriers directly for shipping costs.
- Preferred: No setup fee, no monthly fee, no per-shipment fee. If using BYOC with Preferred, a reduced per-shipment fee (plus applicable taxes) applies to BYOC labels.
- Processing Fees. Payment processing fees (2.9% + $0.30 per transaction – subject to change) are handled as follows:
- Pay-as-You-Go: Processing fees are passed through and included in the checkout total.
- BYOC: Processing fees are passed through and added to each weekly statement.
- Preferred: Processing fees are waived (absorbed/paid by SASI).
- Margin Protection Fee. To ensure sustainable operations when courier discounts are limited, a margin protection fee may apply to SASI shipments when the effective discount falls below a specified threshold. This fee applies to both regular (pay-as-you-go) and Preferred accounts using SASI rates, but does not apply to BYOC shipments. The fee is calculated as the greater of: (a) a flat amount, or (b) a percentage of the transport cost; this fee is subject to applicable taxes (HST/GST/PST). Current parameters (flat amount, percentage, and discount threshold) are available on our pricing page. We may adjust these parameters from time to time and will provide reasonable notice of material changes via email to Preferred account holders. In-product notification will be provided for a limited period during and after a material change. It is your responsibility to always check current pricing information for changes prior to using the Service.
- Invoicing & Payment Terms. Invoices for BYOC and Preferred accounts are issued weekly (Sunday–Saturday billing periods). Payment terms vary by account type:
- Pay-as-you-go/regular accounts: Payment is due immediately at checkout.
- BYOC: Payment is due within seven (7) calendar days (including weekends/holidays) beginning on the day the invoice is rendered ("Net 7 payment terms"). BYOC customers who enable auto-pay receive an extension to thirty (30) calendar days ("Net 30 terms").
- Preferred: Net 7 payment terms (always, regardless of auto-pay status).
- Enforcement. Automated enforcement applies as follows:
- 15 Days from Invoice Date (8 days overdue): Discount suspension. All volume-based discounts and promotional pricing are suspended. Shipments will be charged at standard rates and payment will be due at checkout until the outstanding balance is paid.
- 22 Days from Invoice Date (15 days overdue): Account suspension or termination. The account is fully suspended and may be terminated at SASI's sole discretion. New shipments cannot be created until payment of the outstanding balance is received in full.
- Loss of Discount. Any discounted rates, promotional pricing, or Preferred-plan benefits are contingent upon timely payment and good standing. If an account becomes delinquent (15+ days from invoice date), applicable discounts are forfeited until all outstanding balances are paid in full. We may retroactively adjust invoices to standard rates for shipments rated/processed during a delinquent period.
- Reinstatement of Benefits. Upon full payment of outstanding balances, suspended discounts and Preferred benefits (if any) may be reinstated prospectively at our discretion; prior shipments will not be re-rated.
- Right to Require Prepayment. Following delinquency or repeated non-payment, we may require prepayment, a deposit, or a valid payment method for automatic settlement of courier adjustments and future charges.
- Payment Processing. SASI does not store payment card numbers. Cards are (or will be) processed by a third-party payment processor (e.g., Stripe) subject to that provider's terms, conditions, and privacy policy. SASI is not responsible for services provided by any third-party payment processor.
- Adjustments & Chargebacks. By using the Service, you authorize adjustments if couriers assess differences (e.g., weight/dimension corrections, address corrections, etc.). Chargebacks may result in suspension or cancellation of your account.
- Responsibility for Additional Charges. You agree to pay all additional charges, surcharges, fees, taxes, and adjustments assessed by couriers after booking, including but not limited to: fuel surcharge adjustments, weight or dimensional weight corrections, address corrections, residential delivery fees, remote area surcharges, additional handling fees, and any other courier-assessed charges, plus applicable taxes. These charges will be billed to your account when we receive them from the courier, and payment is due according to your account terms. SASI is not liable for any difference between quoted rates and final courier charges.
- Declared Value & Carrier Liability. The "Declared Value" you specify when booking represents the maximum amount a carrier will reimburse for loss or damage. Declared value coverage is carrier liability—not insurance—and is subject to the carrier's terms, conditions, and exclusions. You are responsible for accurately declaring the value of package contents. If you do not declare a value, carrier liability is limited to the carrier's default (typically $100 CAD or less). Declared value fees charged by carriers are included in your quoted rate when applicable.
- Liability. SASI makes no warranty or representation regarding carrier claim outcomes and is not liable for lost, damaged, or delayed shipments. Claims must be filed directly with the carrier according to their procedures.
6) Refunds & Cancellations
- Courier Rules Apply. Cancellations and refunds are subject to the underlying courier's rules and limitations. If a courier does not permit cancellation or refund, we cannot override that decision.
- Processing Fees. Payment processing fees are non-refundable. If a booking is cancelled and refunded, the refunded amount will be net of such fees.
- Timing. Refund eligibility generally requires that the label has not yet been used, scanned, or voided by the courier. Once a shipment is in transit, refunds are not available.
- Transparency. We will display the outcome of your cancellation request (approved, denied, or partial refund) in your account, based on courier confirmation.
7) Service Changes & Availability
We may update, suspend, or discontinue any aspect of the Service at any time. We make reasonable efforts to keep the Service available but do not guarantee uninterrupted, timely, or error-free operation.
8) Term & Termination
- By You. You may stop using the Service at any time. Closing your account does not affect obligations or amounts owed.
- By Sure As Ship Inc. We may suspend or terminate access for any reason, including misuse, non-payment (including balances outstanding 22 days or more from invoice date), repeated delinquent payments, fraud, legal/regulatory risk, or to protect the integrity of the Service.
- Post-Termination. We retain transaction records (e.g., shipment/invoice data) for legal, tax, audit, and fraud-prevention purposes; see our Privacy Policy for further information.
9) Disclaimers
To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE." We disclaim all warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of data (including quotes, tracking, or delivery estimates).
10) No Liability
To the maximum extent permitted by law, Sure As Ship Inc. will have no liability for any indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; loss of data; or costs related to lost, delayed, damaged, or misdelivered shipments, courier performance, or events beyond our reasonable control. For jurisdictions that do not allow certain exclusions, any liability that cannot be disclaimed is limited to the lesser of (a) CAD $100 in the aggregate, or (b) the amounts you paid to Sure As Ship Inc. for the Service in the three (3) months preceding the event giving rise to the claim.
11) Indemnity
You agree to defend, indemnify, and hold harmless Sure As Ship Inc., including our affiliates, officers, directors, employees, and agents, from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your shipments, your use of the Service, or your violation of these Terms or applicable law.
12) Governing Law & Venue
These Terms are governed by the laws of the Province of Ontario, and of Canada, as applicable, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the provincial or federal courts located in Hamilton, Ontario (provincial) or Toronto, Ontario (federal).
To the maximum extent permitted by applicable law, you agree that any proceeding, including arbitration, shall be limited to the dispute between you and SASI, individually. You explicitly waive any right to commence, maintain, or participate in any class action, collective action, or representative proceeding against us in connection with these Terms of Service.
13) Severability
If any part, term or provision of these Terms is held to be illegal, in conflict with any law or otherwise invalid, the remaining portion or portions shall be considered severable and not be affected by such determination and these Terms shall be construed and enforced as if the impugned portion(s) had never been included.
14) Changes to These Terms
We may update these Terms from time to time. Changes take effect on the stated effective date and will be available on our website. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. It is your responsibility to review the Terms prior to each use of the Service.
